Item 3.03. Material Modification to Rights of Security Holders. On March 25, 2024, WisdomTree, Inc. (the "Company") entered into Amendment No. 4 (the "Amendment") to the Stockholder Rights Agreement, dated as of March 17, 2023, between the Company and Continental Stock Transfer & Trust Company, as Rights Agent, as amended (the "Rights Agreement"). The Amendment amends the Rights Agreement by amending the definition of "Beneficial Owner," "Beneficially Own," and "Beneficial Ownership" in Section 1(d) of the Rights Agreement to replace Section 1(d)(ii)(B) in its entirety with the definition as set forth in the Amendment attached hereto as Exhibit 4.1. The foregoing description of the Amendment is qualified in its entirety by reference to the full text of the Amendment, which is attached hereto as Exhibit 4.1 and is incorporated herein by reference.
