Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On June 5, 2024, the Board of Directors (the "Board") of Willamette Valley Vineyards, Inc. (the "Company") appointed Ms. Elizabeth Spencer as a director on the Board effective June 5, 2024. Ms. Spencer is a member of director group I with a term expiring at the Company's 2026 annual meeting of shareholders. In connection with her appointment to the Board, Ms. Spencer will receive compensation in accordance with the WVV Board Member Compensation Plan as described in the section entitled "Director Compensation" in the Company's definitive proxy statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on May 31, 2024. There are no arrangements or understandings between Ms. Spencer and any person pursuant to which Ms. Spencer was appointed as a director on the Board. Further, there are no transactions between Ms. Spencer and the Company that would require disclosure under Item 404(a) of Regulation S-K.
