Item 8.01. Other Events. Consent for conversion of Atalaya Note On December 28, 2023, Zoomcar Holdings, Inc. (the " Company ") issued an unsecured convertible note to ACM Zoomcar Convert LLC (" Atalaya ") for making payment of $1,231,368 against the outstanding unsecured promissory note and $6,570,642 to various vendors on behalf of the Company (" Atalaya Note "). Unless otherwise defined herein, capitalized terms used herein shall have the meanings ascribed thereto in the Atalaya Note. Under the terms of the Atalaya Note, Atalaya shall have the right, at its sole option, on any business day to convert all or any portion of the Atalaya Note on any Conversion Date (y) at the Conversion Price in any amount, and (z) at the Amortization Conversion Price up to an amount equal to 25% of the highest Trading Day value of the Company's shares of Common Stock on a daily basis during the 20 Trading Days preceding the Conversion Date, or a greater amount upon obtaining the Company's prior written consent.
