Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On January 18, 2024, Cristina E. Ahn, Vice President and Controller (Principal Accounting Officer) of Genworth Financial, Inc. (the "Company") resigned from this position effective immediately. Ms. Ahn's resignation is not a result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. Darren W. Woodell will be appointed as the Company's Vice President and Controller (Principal Accounting Officer). Mr. Woodell joined the Company in September 2010 and has been serving as Assistant Controller.
