(the "Company") issued a press release announcing that it had commenced a private offering of $275,000,000 aggregate principal amount of Convertible Senior Notes due 2029 (the "Notes") to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended ("Securities Act"). A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. On February 1, 2024, the Company issued a press release announcing the pricing of its upsized private offering of $300,000,000 aggregate principal amount of 4.250% Convertible Senior Notes due 2029 to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act. The Company also granted the initial purchasers of the Notes an option to purchase, for settlement within a period of 13 days from, and including the date the notes are first issued, up to an additional $55,000,000 aggregate principal amount of the Notes. In connection with the pricing of the Notes, the Company entered into privately negotiated capped call transactions with certain financial institutions.
