(collectively, the “Dealers”). Under the ASR Agreements, the Company will purchase an aggregate of $3.2 billion of the Company’s common stock as part of its existing share repurchase program.   Under the terms of the ASR Agreements, on February 15, 2024, Cigna will receive an aggregate initial delivery of approximately 7.6 million shares in exchange for a prepayment of $3.2 billion.
