(the “Company”) announced the commencement and subsequent pricing, respectively, of a private offering (the “Offering”) of $525 million aggregate principal amount of 6.75% senior secured notes due 2029 (the “notes”). The aggregate principal amount of the Offering of the notes was increased from the previously announced Offering size of $425 million aggregate principal amount of notes. The notes will be sold to investors at 100.00% plus accrued interest, if any, from April 4, 2024.  The closing of the Offering of the notes is expected to occur on or about April 4, 2024, subject to customary closing conditions.   The Company intends to use the
