Briggs, the Chief Executive Officer of Orbis Education Services, LLC, a wholly owned subsidiary of Grand Canyon Education, Inc. (the "Company"), submitted written notice of his resignation for good reason. In connection with the foregoing, under the terms of Mr. Briggs' employment agreement, upon the effective date of June 30, 2024, Mr. Briggs will receive payments and other benefits in accordance with the good reason provisions of his employment agreement, subject to his execution and delivery, as a condition to receipt of such payments and benefits, of a general release of claims in a form acceptable to the Company that is effective and irrevocable.
