Item 8.01 Other Events. On April 2, 2024, Comstock Resources, Inc. (the "Company") issued a press release announcing that, subject to market conditions, it intends to commence an offering of senior notes due 2029 (the "Notes") in a private placement to eligible purchasers. The Notes are expected to be issued by the Company and guaranteed by certain of its subsidiaries on an unsecured and unsubordinated basis. A copy of the press release is furnished as Exhibit 99.1 hereto and incorporated by reference herein. The press release shall not constitute an offer to sell or the solicitation of an offer to buy, nor shall there be any sale of these securities in any state in which the offer, solicitation or sale would be unlawful prior to the registration or qualification under the securities laws of any such state.
