Dr. Smaldone Alsup has served on the Board of Directors of the Company (the "Board") since June 2015 and will complete her current term, which expires at the Annual Meeting. Dr. Smaldone Alsup's decision not to stand for re-election was not the result of any disagreements with the Company on matters related to its operations, policies or practices.
