Item 4.01 Changes in Registrant's Certifying Accountants On May 6, 2024, urban-gro, Inc. (the "Company") dismissed BF Borgers CPA PC ("BF Borgers") as its independent registered public accounting firm. The Company's audit committee unanimously approved the decision to dismiss BF Borgers. BF Borgers' reports on the financial statements of the Company for the fiscal years ended December 31, 2023 and 2022 did not contain an adverse opinion or disclaimer of opinion, nor were they modified or qualified as to uncertainty, audit scope or accounting principles. There have been no "disagreements" (as that term is defined in Item 304(a)(1)(iv) of Regulation S-K) and no "reportable event" occurred (as that term is defined in Item 304(a)(1)(v) of Regulation S-K) during the fiscal years ended December 31, 2023 and 2022 and the subsequent interim period up to and including the date of BF Borgers' dismissal between the Company and BF Borgers on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which, if not resolved to the satisfaction of BF Borgers, would have caused them to make reference to the subject matter of the disagreement in connection with their report on the Company's financial statements for those periods. Further, all opinions received from BF Borgers were unqualified during the time it served as the Company's independent registered public accounting firm. The Company provided BF Borgers with the disclosures under this Item 4.01, and requested BF Borgers to furnish the Company with a letter addressed to the SEC stating whether it agrees with the statements made by the Company in this Item 4.01 and, if not, stating the respects in which it does not agree. BF Borgers' letter agreeing with all statements is filed as Exhibit 16.1 to this Current Report on Form 8-K. The Company has already commenced a search for a new independent registered public accounting firm.
