ITEM 5.07 SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS. The Annual Meeting was held on May 14, 2024. As of March 20, 2024, the record date for the Annual Meeting, a total of 49,539,158 shares of the Company's common stock were outstanding and entitled to vote on all matters presented to the Company's stockholders at the Annual Meeting. At the Annual Meeting, the Company's stockholders considered the following proposals: (1) To elect seven directors to serve for a term of one year; (2) To approve the NN, Inc. Amended and Restated 2022 Omnibus Incentive Plan; (3) To cast an advisory (non-binding) vote to approve the compensation of the Company's named executive officers ; and (4) To cast an advisory (non-binding) vote to ratify the selection of Grant Thornton LLP as the Company's registered independent public accounting firm for the fiscal year ending December 31, 2024.
