Item 8.01. Other Events. The Hershey Company (the "Company") regrets to report that on May 22, 2024, Robert M. Dutkowsky, a member of the Company's Board of Directors since August 2020, passed away. Mr. Dutkowsky, age 69, served as Chair of the Finance and Risk Management Committee and was a member of both the Executive Committee and the Governance Committee. The Company is grateful for Mr. Dutkowsky's dedication and service and extends its deepest sympathies to his family.
