ITEM 8.01 OTHER EVENTS. On June 4, 2024, Herc Holdings Inc. (the "Company") issued a press release announcing a proposed private offering of senior unsecured notes (the "Offering"), and a subsequent press release announcing the pricing of $800 million aggregate principal amount of 6.625% senior unsecured notes due 2029 (the "notes"), copies of which are attached hereto as Exhibits 99.1 and 99.2, respectively. The notes will be guaranteed on a senior unsecured basis, subject to limited exceptions, by the Company's current and future domestic subsidiaries, including Herc Rentals Inc. Following the Offering, the Company expects to repay a portion of the indebtedness outstanding under the Company's senior secured asset-based revolving credit agreement and to pay related fees and expenses. The notes were offered pursuant to Rule 144A and Regulation S under the Securities Act of 1933. The notes have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
