Item 8.01 Other Events. On May 2, 2024, Amphenol Corporation (the "Company") announced that its Board of Directors approved the second quarter 2024 dividend on its Common Stock in the amount of $0.22 per share. The dividend will be paid on July 10, 2024 to shareholders of record as of June 18, 2024. On May 20, 2024, the Company announced the approval of a two-for-one stock split of the Company's Class A Common Stock in the form of a stock dividend to be distributed on June 11, 2024, to holders of record of the Company's Class A Common stock at the close of business on May 31, 2024. The two-for-one stock split referenced above has now been effected. In light of the stock split, the dividend to be paid on July 10, 2024 to shareholders of record as of June 18, 2024 will now be $0.11 per share.
