(the " Company "), the Company's stockholders approved an amendment to the Company's Articles of Organization, as amended (the " Articles of Organization "), to increase the number of authorized shares of Common Stock from 9,753,900 to 20,000,000 (the " Amendment "). On June 26, 2024, the Company filed an Articles of Amendment to the Articles of Organization with the Secretary of the Commonwealth of Massachusetts to effect the Amendment, which became effective immediately upon such filing. The foregoing description of the Amendment does not purport to be complete and is subject to and qualified in its entirety by reference to the Articles of Amendment, a copy of which is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
