On July 2, 2024, the U.S. Federal Trade Commission announced its intention to file a complaint and request for preliminary relief in the United States District Court for the Southern District of Texas to challenge the proposed acquisition of Mattress Firm Group Inc. ("Mattress Firm") by Tempur Sealy International, Inc. (the "Company") pursuant to the previously disclosed Agreement and Plan of Merger, dated as of May 9, 2023, by and among the Company, Mattress Firm and the other parties thereto (the "Action"). Also on July 2, 2024, the Company issued a press release (the "Press Release") in response to the Action. A copy of the Press Release is furnished herewith as Exhibit 99.1 and is incorporated into this Item 7.01 by reference.
