Item 1.01 Entry into a Material Definitive Agreement. On August 2, 2024, Omnicom Group Inc. (the "Company") closed its public offering of $600.0 million aggregate principal amount of 5.300% Senior Notes due 2034 (the "Notes"), pursuant to the Underwriting Agreement, dated July 30, 2024 (the "Underwriting Agreement"), with BofA Securities, Inc., Citigroup Global Markets Inc., Deutsche Bank Securities Inc., and Wells Fargo Securities, LLC, as representatives of the several underwriters. The Notes have been registered under the Securities Act of 1933, as amended, pursuant to the Company's shelf registration statement on Form S-3 (File No. 333-261046) (the "Registration Statement"), which became effective upon filing with the Securities and Exchange Commission on November 12, 2021. The net proceeds received by the Company, after deducting the underwriting discounts and estimated offering expenses payable by the Company, were approximately $592.4 million. The Company intends to use such net proceeds, along with available cash, to fund the repayment of its 3.65% Senior Notes due 2024, which mature on November 1, 2024, of which $750 million aggregate principal amount was outstanding as of June 30, 2024. Pending the application of the net proceeds, the Company plans to invest such net proceeds in short-term investment grade obligations.
