Item 8.01 Other Events. On September 3, 2024, The Manitowoc Company, Inc. (the " Company ") issued a press release announcing that it has commenced a private offering of $300,000,000 aggregate principal amount of senior secured second lien notes due 2031 (the " Notes "), subject to market and other conditions, including the Company amending its existing ABL credit agreement to among other things increase the commitments by $50 million to $325 million. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference. As of June 30, 2024, we would have had approximately $203.2 million of borrowings available under the ABL credit agreement, as amended, after taking into account the letters of credit and borrowing base availability.
