(the "Company") that the Staff had concluded its investigation of the Company commenced March 2023 (the "SEC Investigation") and that, based on the information that it had as of September 9, 2024, the Staff did not intend to recommend any enforcement action against the Company. The SEC Investigation was previously disclosed by the Company in its periodic reports under the Securities Exchange Act of 1934, as amended.
