Item 8.01 Other Events. On September 20, 2024, American Outdoor Brands, Inc. (the "Company") issued a press release indicating that it is postponing its 2024 Annual Meeting of Stockholders. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The Company anticipates that the 2024 Annual Meeting of Stockholders will be held more than thirty days after the date of the 2023 Annual Meeting of Stockholders. As a result, stockholders who intend to have a proposal considered for inclusion in the Company's proxy statement for the 2024 Annual Meeting of Stockholders pursuant to Rule 14a-8 of the Securities Exchange Act of 1934 must submit the proposal in writing to the Company's corporate secretary no later than a reasonable time before the Company begins to print and send its proxy materials to stockholders.
