Item 8.01. Other Events. On September 27, 2024, US Foods Holding Corp. (the "Company") issued a press release announcing the commencement of a private offering exempt from registration under the Securities Act of 1933, as amended (the "Securities Act"), of $500 million aggregate principal amount of senior unsecured notes due 2033 (the "Notes") by its direct, wholly-owned subsidiary, US Foods, Inc. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. Additionally, on September 27, 2024, the Company issued a press release announcing the pricing of the Notes. The Notes will be fully and unconditionally guaranteed by all existing and future wholly-owned domestic subsidiaries of US Foods, Inc. that guarantee its obligations under its existing term loan credit facility. The closing of the sale of the Notes is scheduled for October 3, 2024, subject to customary closing conditions. A copy of the press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference. The Notes and the related guarantees have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws. This current report does not constitute an offer to sell or a solicitation of an offer to buy the securities, nor shall there be any sale of the securities in any state or jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state or jurisdiction.
