Item 4.01 Changes in Registrant's Certifying Accountant. Dismissal of Independent Registered Public Accounting Firm On October 1, 2024, the Audit Committee (the " Audit Committee ") of the Board of Directors (the " Board ") of Ur-Energy Inc. (the " Company ") approved the conclusion of the engagement and dismissal of PricewaterhouseCoopers LLP (" PwC ") as the Company's independent registered public accounting firm, effective October 1, 2024. The audit reports of PwC on the Company's financial statements as of and for the fiscal years ended December 31, 2023 and 2022 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope or accounting principles. During the two most recent fiscal years ended December 31, 2022 and 2023 and the subsequent interim period through the effective date of PwC's dismissal, (i) there were no disagreements between the Company and PwC on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedures, which disagreements, if not resolved to the satisfaction of PwC, would have caused it to make reference thereto in its reports on the Company's financial statements for such fiscal years and (ii) there were no reportable events, as defined in Item 304(a)(1)(v) of Regulation S-K. The Company provided a copy of the foregoing disclosure to PwC and requested that PwC furnish it with a letter addressed to the Securities and Exchange Commission stating whether PwC agrees with the above statements, as required by Item 304(a)(3) of Regulation S-K.
