Item 2.02 Results of Operations and Financial Condition. On October 16, 2024, Uwharrie Capital Corp (the "Registrant") announced financial results for the period ended September 30, 2024. The Registrant reported consolidated total assets of $1.18 billion at September 30, 2024, compared to $1.07 billion at December 31, 2023. Net income for the nine-month period ended September 30, 2024, was $7.6 million versus $6.3 million for the same period in 2023. For the nine months ended September 30, 2024, net income available to common shareholders was $7.2 million, or $1.00 per share, compared to $5.9 million, or $0.80 per share, for the nine months ended September 30, 2023. Net income available to common shareholders takes into consideration the payment of dividends on preferred stock issued by the Registrant. Net income for the three-month period ended September 30, 2024, was $3.0 million versus $2.1 million for the same period in 2023.
