Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On October 30, 2024, the Board of Directors of Target Hospitality Corp. (the "Company") approved and adopted amendments to the Company's Bylaws (the "Fourth Amended and Restated Bylaws"). The amendments, among other things, (i) specify individuals who may preside over meetings of the Company's stockholders and (ii) clarify procedural mechanics and informational requirements in connection with stockholder nominations of directors and submission of stockholder proposals pursuant to the advance notice and proxy access provisions of the Fourth Amended and Restated Bylaws. The Fourth Amended and Restated Bylaws also make various other ministerial, clarifying and conforming changes. The foregoing summary of the amendments does not purport to be complete and is qualified in its entirety by reference to the Fourth Amended and Restated Bylaws.
