ITEM 8.01 OTHER EVENTS On December 9, 2024, Independent Bank Corp., a Massachusetts corporation ("Independent") (NASDAQ Global Select Market: INDB) and Enterprise Bancorp, Inc., a Massachusetts corporation ("Enterprise") (NASDAQ Global Select Market: EBTC) issued a joint press release announcing the execution of an Agreement and Plan of Merger (the "Merger Agreement"), dated December 8, 2024, pursuant to which, subject to the terms and conditions set forth therein, Independent will acquire Enterprise and Rockland Trust Company, a Massachusetts-chartered trust company and wholly-owned subsidiary of Independent, will acquire Enterprise Bank and Trust Company, a Massachusetts trust company and wholly-owned subsidiary of Enterprise. A copy of the joint press release issued by Independent and Enterprise announcing the transaction ("the Press Release") is attached as Exhibit 99.1 and is incorporated by reference. In addition, Independent is furnishing supplemental presentation materials used in connection with a conference call held to discuss the transaction with analysts and investors. The presentation materials are included as Exhibit 99.2 and is incorporated by reference.
