On December 31, 2024, the Company commenced its previously announced rights offering (the "Rights Offering") to purchase up to $90,000,000 in shares of the Company's common stock, representing 9,230,769 shares of the Company's common stock in the aggregate. The Rights Offering is being made pursuant to the Company's registration statement (including a prospectus) on Form S-1 that was filed with the United States Securities and Exchange Commission (the "SEC") and declared effective on December 31, 2024, and a prospectus filed with the SEC on December 31, 2024. This Current Report on Form 8-K shall not constitute an offer to sell or a solicitation of an offer to buy any securities of the Company, nor shall there be any offer, solicitation or sale of any securities of the Company in any The Rights Offering will be made only by means of a prospectus.
