(the "Company") approved Amendment No. 2 (the "Amendment") to the Restated Bylaws of the Company, as amended (the "Bylaws"), effective as of February 11, 2025. The Amendment amends and restates Article I, Section 7 of the Bylaws in its entirety to revise the voting standards language.
