Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year On and effective as of August 14, 2025, 23andMe Holding Co., a Delaware corporation (the "Company"), filed a certificate of amendment (the "CoI Amendment") amending the Company's Certificate of Incorporation (as amended, the "CoI"), with the Secretary of State of the State of Delaware to change its name from "23andMe Holding Co." to "Chrome Holding Co." (the "Name Change"). The Name Change does not affect the rights of the Company's stockholders, and there were no other changes to the CoI. The foregoing description of the CoI Amendment is qualified in its entirety by reference to copy of the full text of the CoI Amendment, which is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
