As previously disclosed on a Form 8-K filed with the Securities and Exchange Commission on July 7, 2025, WNS (Holdings) Limited, a public limited company incorporated under the laws of the Bailiwick of Jersey (the " Company " or " WNS "), entered into a Transaction Agreement with Capgemini S.E., a socit europenne organized under the laws of France (the " Buyer "), providing for, subject to the terms and conditions of the Transaction Agreement, the acquisition of the Company by the Buyer, which is expected to be implemented by means of a scheme of arrangement (the " Scheme ") under the Companies (Jersey) Law 1991 (the " Transaction "). The Company today issued a press release announcing that leading independent proxy advisory firms Institutional Shareholder Services Inc. and Glass, Lewis & Co. have each recommended that WNS shareholders vote "FOR" the Scheme and the related proposals to carry the Scheme into effect at the upcoming Court Meeting and General Meeting of the Company's shareholders on August 29, 2025. A copy of the press release is attached as Exhibit 99.1 hereto.
