Entry into a Material Definitive Agreement On September 9, 2025, CenterPoint Energy Houston Electric, LLC, a Texas limited liability company ("CenterPoint Houston"), and CenterPoint Energy Restoration Bond Company II, LLC, a Delaware limited liability company (the "Issuing Entity"), entered into an Underwriting Agreement (the "Underwriting Agreement") with Citigroup Global Markets Inc. and Barclays Capital Inc., as representatives of the underwriters named therein (collectively, the "Underwriters"), with respect to the purchase and sale of $401,521,000 aggregate principal amount of the Issuing Entity's Series 2025-A Senior Secured System Restoration Bonds (the "Bonds") to be issued by the Issuing Entity pursuant to an Indenture, to be dated as of September 17, 2025, by and among the Issuing Entity, U.S. Bank Trust Company, National Association, as indenture trustee (the "Trustee") and U.S. Bank National Association, as securities intermediary, as supplemented by a Series Supplement, to be dated as of September 17, 2025, by and between the Issuing Entity and the Trustee. The Bonds were offered pursuant to the prospectus dated September 9, 2025. The Underwriting Agreement contains customary representations, warranties and agreements by CenterPoint Houston and customary conditions to closing, indemnification obligations of CenterPoint Houston, on the one hand, and the Underwriters, on the other hand, including for liabilities under the Securities Act of 1933, as amended, obligations of the parties and termination provisions.
