Item 5.02. Departure of Directors or Certain Officers Election of Directors Appointment of Certain Officers Compensatory Arrangements of Certain Officers. On September 11, 2025, the Compensation Committee of the Board of Directors (the "Compensation Committee") of Cornerstone Building Brands, Inc. (the "Company") determined to exercise its discretion as the administrator of the Company's cash-based annual Short-Term Incentive Program (the "Bonus Plan") to adjust the minimum amount payable under the Bonus Plan for the 2025 fiscal year. As a result of this adjustment, Bonus Plan participants who are eligible to receive payments under the Bonus Plan for the Company's 2025 fiscal year will receive a minimum of 50% of the amount payable under the Bonus Plan for fiscal year 2025 assuming "target" levels of achievement. All other terms and conditions of the Bonus Plan, including eligibility criteria and the form and timing of payments, remain unchanged. A copy of the Company's Short-Term Incentive Program was filed as Exhibit 10.36 to the Company's annual report on Form 10-K for the fiscal year ended December 31, 2024.
