As announced previously, the Fund’s Board of Directors approved a plan of liquidation and dissolution for the Fund, and recommends that the Fund’s stockholders vote for the liquidation of the Fund at the upcoming Special Meeting of Stockholders to be held on October 21, 2025. The Special Meeting will be held virtually by conference call commencing at 11 a.m., Eastern Time. Details of the proposed liquidation are included in the Fund’s Proxy Statement, a copy of which is available on the Fund’s website and will be mailed on or about October 9, 2025. On behalf of the other members of the Board, I would like to ask you to support the proposed liquidation of the Fund by voting your interest in the Fund as soon as practicable.
