On October 9, 2025, WNS (Holdings) Limited, a public company incorporated under the laws of the Bailiwick of Jersey (the " Company " or " WNS "), issued a press release with respect to the matters described in Item 8.01 of this Current Report on Form 8-K. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference. Item 8.01 Other Events. As previously disclosed on a Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission (the " SEC ") on July 7, 2025, the Company entered into a Transaction Agreement (the " Agreement ") with Capgemini S.E., a socit europenne organized under the laws of France (the " Buyer "), providing for the acquisition of the Company by the Buyer, which is expected to be implemented by means of a scheme of arrangement (the " Scheme ") under the Companies (Jersey) Law 1991 (the " Transaction "). On October 9, 2025, at the hearing of the Royal Court of Jersey (the " Court ") of the application to sanction the Scheme, the Court sanctioned the Scheme. Following receipt of the Scheme sanction, the Company expects that the Transaction will close on October 17, 2025, following the delivery of a copy of the court order to the Jersey registrar.
