At the meeting, you will be asked to approve an Agreement and Plan of Reorganization to merge the Fund into BNY Mellon International Equity Fund (the "Acquiring Fund"). After careful review, the Fund's Board of Trustees unanimously recommends you vote FOR the proposal. How will the Proposal affect my investment? Ø Lower management fee: The Acquiring Fund had a lower management fee than the Fund, based on the net assets of each fund as of June 30, 2025. Ø Lower total expense ratio: Each Acquiring Fund share class had a lower gross annual expense ratio (before current fee waivers and expense reimbursements) and a lower net annual expense ratio (after current fee waivers and expense reimbursements) than the corresponding class of Fund shares, based on the net assets and expenses of each fund as of June 30, 2025. Ø Potential efficiencies: Management of BNYIA also believes that, by combining the Fund with the Acquiring Fund, shareholders of the Fund should benefit from more efficient portfolio management and certain operational efficiencies.
