02 Results of Operations and Financial Condition
Item 2.02 Results of Operations and Financial Condition. On November 4, 2025, Inspirato Incorporated ("Inspirato" or the "Company") issued a press release announcing its financial results for the three months ended September 30, 2025. A copy of the press release is furnished as Exhibit 99.1 to this current report on Form 8-K and is incorporated by reference herein. Item 5.02(b) Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On November 3, 2025, Michael Arthur , the Company's Chief Financial Officer, notified the Company of his decision to resign from his position, effective as of that date. Mr. Arthur has agreed to remain with the Company in a transitional capacity through December 31, 2025 to support the Company's financial reporting and operational continuity. In connection with his resignation and continued service during the transition period, the Company and Mr. Arthur entered into a transition agreement under which his outstanding, unvested time-based restricted stock units ("RSUs") will become fully vested in certain circumstances, subject to his continued compliance with the agreement's terms. The vesting terms are subject to the applicable equity award agreements and the Company's equity incentive plan. The resignation was not the result of any disagreement with the Company on any matter relating to its operations, policies, or practices.
