Item 3.01. Notice of Delisting or Failure to Satisfy an Continued Listing Rule or Standard; Transfer of Listing. On November 21, 2025, A-Mark Precious Metals, Inc. ("A-Mark"), acting pursuant to definitive authorization from its Board of Directors (the "Board"), confirmed to the Nasdaq Global Select Market ("Nasdaq") the approval of the decision to transfer the listing of A-Mark's common stock, par value $.01 per share (the "Common Stock"), from Nasdaq to the New York Stock Exchange ("NYSE"). AMark expects that listing and trading of its Common Stock on Nasdaq will end at market close on December 1, 2025, and that trading will begin on the NYSE at market open on December 2, 2025.
