Item 8.01 Other Events. On December 16, 2025, the Company announced by press release a special cash dividend to common shareholders in the amount of $1.00 per common share, payable on or about January 16, 2026, to shareholders of record on January 2, 2026. This special cash dividend is based on Company performance through the first three quarters of 2025 and may not be indicative of special cash dividend activity in the future. A copy of the press release is attached hereto as Exhibit 99.1.
