Item 5.02 — Departure of Directors or Certain Officers; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On December 23, 2025, Ellis Smith resigned from his positions as Chief Executive Officer, Chief Financial Officer, and Chairman of the Board of Directors of American Cannabis Company (the "Company"), effective immediately. Mr. Smith's resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies, or practices. On the same date, the Board of Directors appointed Joe Cleghorn as Interim Chief Executive Officer of the Company, effective immediately. Additionally, on December 23, 2025, the Board of Directors appointed James Woodend to serve as a member of the Board of Directors of the Company, effective immediately. There are no arrangements or understandings between Mr. Cleghorn or Mr. Woodend and any other person pursuant to which they were selected for their respective positions, other than standard corporate governance considerations.
