Item 8.01. Other Events. On June 13, 2024, ACI Worldwide, Inc. (the "Company") announced the Board of Directors (the "Board") authorized the repurchase of $400 million in shares of the Company's common stock. The new approval includes $65 million remaining under the Company's existing share repurchase authorization. The share repurchases may be made at management's discretion in the open market, through privately negotiated transactions and Rule 10b5-1 plans. This authorization does not expire. A copy of the press release announcing the forgoing matters is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
