Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On November 9, 2024, Douglas D. Wheat, the Chairman of the Board of Directors (the "Board") of AMN Healthcare Services, Inc. (the "Company") notified the Company and the Board that he will not stand for re-election at the Company's 2025 annual meeting of shareholders (the "2025 Annual Meeting"), at which time he will retire from the Board. Mr. Wheat's decision not to stand for re-election is not because of a disagreement with the Company or the Board on any matter relating to the Company's operations, policies or practices. On November 11, 2024, the Company also announced that the Board has appointed Mark G. Foletta, a member of the Board since 2012, to serve as Chairman of the Board, effective as of the completion of the 2025 Annual Meeting, subject to his re-election to the Board at the 2025 Annual Meeting.
