Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On January 31, 2024, Advanced Emissions Solutions, Inc. (the "Company") filed an amendment (the "Amendment") to its Second Amended and Restated Certificate of Incorporation to change the Company's name to "Arq, Inc." (the "Name Change"), to be effective February 1, 2024. The Company also amended and restated its Bylaws solely to update the Company's name to Arq, Inc., to be effective February 1, 2024. In connection with the Name Change, the Company will begin trading on the Nasdaq Global Market under the new ticker symbol "ARQ". The new ticker symbol will become effective at the open of the market on February 1, 2024. A copy of the Amendment, as filed with the Secretary of State of the State of Delaware on January 31, 2024, is attached as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference. A copy of the Company's Amended and Restated Bylaws, as amended to reflect the Name Change, is attached as Exhibit 3.2 to this Current Report on Form 8-K and is incorporated herein by reference.
