Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On June 20, 2024, in connection with setting the record date for the previously announced Annual Meeting of Shareholders to be held virtually on August 20, 2024 (the "Annual Meeting"), the Board of Directors (the "Board") of AmeriServ Financial, Inc. (the "Company") amended Section 1.7 (Voting) of the Company's bylaws (the "Bylaws") to eliminate the requirement that the record date for a meeting of the Company's shareholders be set at least 50 days prior to such meeting date. A copy of the Bylaws, as amended, is attached hereto as Exhibit 3.1 and the foregoing description is qualified by reference to the full text of the Bylaws attached hereto.
