(the " Company ") filed a Certificate of Amendment to the Company's Articles of Incorporation (as amended, the " Second Amended and Restated Articles "), to amend and restate in their entirety the Company's Amended and Restated Articles of Incorporation. As previously disclosed in the Company's definitive information statement filed with the Securities and Exchange Commission on January 3, 2024, the Board of Directors of the Company unanimously approved, and then certain stockholders representing a majority of the voting power of the outstanding shares of voting stock of the Company approved, the Second Amended and Restated Articles by written consent in lieu of a special meeting, in accordance with the applicable provisions of the Nevada Revised Statutes and the Company's bylaws. In addition, the Board of Directors of the Company unanimously approved an amendment and restatement of the Company's bylaws, and on January 25, 2024, the bylaws of the Company were amended and restated in their entirety (as so amended and restated, the " Amended and Restated Bylaws "). The Second Amended and Restated Articles and the Amended and Restated Bylaws clarify and modernize the Company's governance documents and more closely align the Company's governance with the current provisions of the Nevada Revised Statutes.
