Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard Transfer of Listing On August 21, 2025, Broadway Financial Corporation (the "Company") received written notice (the "Notice") from The Nasdaq Stock Market LLC ("Nasdaq") notifying the Company that it is not in compliance with the periodic financial reporting requirements set forth in Nasdaq Listing Rule 5250(c)(1) ("Rule 5250(c)(1)") for continued listing on The Nasdaq Capital Market because its Quarterly Report on Form 10-Q for the quarter ended June 30, 2025 (the "Form 10-Q") was not filed within the time period prescribed by the Securities and Exchange Commission rules. The Notice has no immediate effect on the listing or trading of the Company's common stock on The Nasdaq Capital Market, and the Company currently expects to regain compliance in the near future. As previously reported, the Company was unable to timely complete and file the Form 10-Q because it requires additional time to evaluate its participation agreements for compliance with Accounting Standards Codification Topic 860 and the impact to the consolidated financial statements. As a result of this delay, the Company requires additional time to fully complete its review of the financial statements for the quarter ended June 30, 2025 for adequate disclosure of the information required to be included in the Form 10-Q. The Notice states that the Company has 60 calendar days from August 21, 2025, to submit to Nasdaq a plan to regain compliance with Rule 5250(c)(1). The Company intends to submit a plan to regain compliance within the 60-day period. If Nasdaq accepts the Company's plan, then Nasdaq may grant the Company up to 180 days from the prescribed due date, or until February 16, 2026, for filing the Form 10-Q to regain compliance.
