On January 31, 2024, stockholders of Cardiff Lexington Corporation (the " Company ") holding approximately 82% of the voting power of the Company's outstanding stock consented in writing to approve an adoption of the Company's 2024 Equity Incentive Plan (the " Plan ") providing for the issuance of equity incentive awards, such as stock options, restricted stock and restricted stock units, to the company's employees, consultants and directors. For additional information regarding the Plan features, please see the Company's preliminary Information Statement on Schedule 14C filed with the Securities and Exchange Commission on January 31, 2024. Such consent is sufficient under Nevada law and the Company's Amended and Restated Articles of Incorporation and Bylaws to approve the Plan.
