Item 5.03. Amendments to Articles of Incorporation or Bylaws Change in Fiscal Year On November 5, 2024, the Board of Directors (the "Board") of The Chefs' Warehouse, Inc. (the "Company") approved and adopted an amendment of the Bylaws of the Company (the "Bylaws") to provide for the dematerialization of physical stock certificates. From and after November 5, 2024, the Company will issue shares exclusively in uncertificated book-entry form. Company shares that are represented by physical stock certificates shall continue to be so represented until such time as the related certificates are surrendered to the Company. The foregoing is qualified in its entirety by reference to the full text of the Amended and Restated Bylaws, attached hereto as Exhibit 3.1 and incorporated by reference herein.
