Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. (e) On January 17, 2024, Diodes Incorporated (the “Company”) and Dr. Keh-Shew Lu, the Company’s Chairman and Chief Executive Officer (the Employee), entered into Amendment No. 3 (Amendment) to the Employment Agreement between the Company and the Employee dated as of July 21, 2015 (Employment Agreement), with an effective date of January 2, 2024. The Amendment amended the Employment Agreement to reflect, among other things, the following changes: a) In Section 1.1, of the Employment Agreement, reference to Employee’s role as President was stricken. b) Section 2.1(i) of the Employment Agreement was amended to reflect a revised annual base salary for the Employee of $740,000.
