Item 8.01 Other Events. On January 9, 2024, DIRTT Environmental Solutions Ltd. (the “Company”) issued a press release announcing the final results of its previously announced C$30.0 million rights offering (the “Rights Offering”). In connection with the Rights Offering, subscription rights were exercised for aggregate gross proceeds of C$30.0 million, resulting in the issuance of an aggregate of 85,714,285 common shares of the Company (“Common Shares”) at a subscription price of C$0.35 per whole Common Share. As the Rights Offering was fully subscribed, no Common Shares were issued pursuant to the previously disclosed Standby Purchase Agreement, dated November 20, 2023, by and among the Company, 22NW Fund, LP, 726 BC LLC, 726 BF LLC and WWT Opportunity #1 LLC. After the closing of the Rights Offering, the Company has 191,091,952 Common Shares outstanding.
