ITEM 8.01 Other Events On January 4, 2024, EnerSys issued a press release announcing that it priced its previously announced offering of $300 million aggregate principal amount of its 6.625% senior notes due 2032 (the "Notes"). The Notes and the related guarantees have not been, and will not be, registered under the Securities Act of 1933, as amended (the "Securities Act"), or any applicable state or foreign securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act and applicable state securities laws.
